Choosing the Right Structure

Mainland formation accommodates a range of corporate structures. The appropriate choice depends on the nature of the activity, the number of shareholders, and the long-term ownership and governance objectives. We advise on structure before any application is made.

Limited Liability Company (LLC)

The most widely used structure for mainland formation. An LLC accommodates multiple shareholders, offers limited liability protection proportionate to each shareholder's contribution, and is suited to the broadest range of commercial activities.

Sole Establishment

Civil Company

Branch of a Foreign Company

Enables an overseas company to establish a registered presence in the UAE, operating under the parent company's name and liability. Subject to specific regulatory approvals and, in certain cases, the appointment of a local service agent.

Private Shareholding Company

Suited to larger enterprises with more complex ownership arrangements. Subject to more formal shareholder and capital requirements, and designed for businesses where institutional governance structures are appropriate from the outset.
